Rita, pupil of Prof. Francesco Galgano, is Full Professor of Private Law at the Department of Legal Studies of the University of Bologna.
As a lawyer admitted to practice before the Supreme Court (Corte di Cassazione), she provides legal assistance in the fields of civil, commercial, and corporate law, as well as in insolvency law. She represents clients in litigation before higher courts and in arbitration proceedings.
She practices, at the Bologna office, in the field of Civil Law, with particular expertise in obligations and contracts, national and international contract law, tort liability, consumer protection, personal rights and privacy, real estate and property rights, inheritance law, and family law (separations and divorces).
She advises in the area of Commercial and Corporate Law leading national companies, including listed ones, on corporate governance and relations with Consob, and provides legal assistance in extraordinary corporate transactions, with consolidated experience in M&A operations.
She also provides assistance regarding compliance with sector-specific regulations for regulated markets, including key aspects of antitrust and golden power legislations.
She operates in the field of Insolvency Law, with a focus on restructuring tools and business crisis resolution mechanisms.
Author of numerous publications, monographs, and articles for Il Sole 24 Ore, she serves on the editorial board and evaluation committee of prestigious legal journals. She is also the scientific coordinator of several national and international conferences.
Her most recent research focuses on national and EU legislation, self-regulation, and international guidelines concerning sustainability and ESG factors, and their impact on corporate governance, corporate liability, and contract governance, as well as on the use of Artificial Intelligence for enterprises and in the decision-making processes of boards.
In addition to her academic and professional activities, she has many years of experience serving on the boards of major listed companies as an Independent Director, including as Chairman of internal Board Committees, and as Chairman and member of the Board of Auditors. These roles have allowed her to further strengthen her expertise in corporate governance.
